Terms of Use
End-User License Agreement (EULA) This End-User License Agreement ("Agreement") is a legal agreement between you and CodePower ApS for the Echo Notes mobile application ("Software"). By installing or using the Software, you agree to be bound by the terms of this Agreement.
1. License Grant
CodePower ApS grants you a revocable, non-exclusive, non-transferable, limited license to download, install and use the Software solely for your personal, non-commercial purposes strictly in accordance with the terms of this Agreement.
2. Restrictions
You agree not to, and you will not permit others to:
a) license, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the Software or make the Software available to any third party.
b) copy or use the Software for any purpose other than as permitted under the above section 'License Grant'.
c) modify, make derivative works of, disassemble, reverse compile or reverse engineer any part of the Software.
d) remove, alter or obscure any proprietary notice (including any notice of copyright or trademark) of CodePower ApS or its affiliates, partners, suppliers or the licensors of the Software.
3. Intellectual Property Rights
The Software and its entire contents, features and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by CodePower ApS, its licensors or other providers of such material and are protected by danish and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws.
4. Termination
This Agreement shall remain in effect until terminated by you or CodePower ApS. CodePower ApS may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice.
5. Disclaimer of Warranties
The Software is provided to you "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, CodePower ApS, on its own behalf and on behalf of its affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Software, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice. Without limitation to the foregoing, CodePower ApS provides no warranty or undertaking, and makes no representation of any kind that the Software will meet your requirements, achieve any intended results, be compatible or work with any other software, applications, systems or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected.
6. Limitation of Liability
To the fullest extent permitted by applicable law, in no event will CodePower ApS or its affiliates, or any of its or their respective licensors or service providers, have any liability arising from or related to your use of or inability to use the Software or the content and services for any direct, indirect, incidental, consequential, special, exemplary or punitive damages, including but not limited to damages for loss of profits, goodwill, use, data or other intangible losses, whether based on contract, tort (including negligence), strict liability, or otherwise, arising out of or in any way connected with the use of the Software or the content and services, including but not limited to the inability to use the Software or the content and services, or for any content obtained from or through the Software, any interruption, inaccuracy, error or omission, regardless of cause in the content, even if the CodePower ApS or any of its affiliates or licensors or service providers has been advised of the possibility of such damages.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the danish court, without giving effect to any principles of conflicts of law.
8. Entire Agreement
This Agreement constitutes the entire agreement between you and CodePower ApS regarding the use of the Software and supersedes all prior agreements and understandings, whether written or oral, relating to the Software.
